Terms & Conditions.

The agreement between you and OmniFound Limited (trading as AgencyIndex) for use of the directory and its services.

These Terms and Conditions (the "Terms") govern your use of the AgencyIndex website at marketingagencyindex.comand any related services (together, the "Service"). The Service is operated by OmniFound Limited(registered in England and Wales under company number 15980245, with registered office at 20 Wenlock Road, London, N1 7GU). In these Terms, "we", "us", "our" and "AgencyIndex" refer to OmniFound Limited; "you" refers to the person or organisation using the Service.

Acceptance of these Terms

By accessing the Service, registering for an account, or upgrading a listing to the Featured tier, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you warrant that you have authority to bind that organisation, and references to "you" include that organisation.

If you do not agree to any part of these Terms, please stop using the Service.

Definitions

  • Agency— a marketing agency listed in the AgencyIndex directory.
  • Listing— the profile page representing an Agency on the directory.
  • User Account— an account on the Service, used by an Agency Representative to claim, submit, or edit a Listing.
  • Agency Representative— a user authorised by an Agency to manage its Listing.
  • Featured— the paid placement tier described in section 6 below.
  • Buyer Enquiry— a message submitted by a visitor on a Listing's contact form, routed by us to the relevant Agency.

About AgencyIndex

AgencyIndex is a UK marketing-agency directory. It is free to browse for buyers and other visitors. Agencies may be included in the directory either by editorial inclusion or by submission and approval. There is an optional paid Featured tier described below.

The directory and its associated services (search, segment landings, cross-indexed combos, journal, newsletter, account portal, billing) are provided as-is and on an evolving basis. We reserve editorial discretion over inclusion, ordering, presentation, and removal of any Listing, subject to applicable law.

Your account

The public directory can be browsed without an account. An account is required to claim, submit, or edit an Agency Listing, and to manage a Featured subscription.

We use a passwordless "magic-link" sign-in flow: you provide your email, we send you a single-use link, you click it to sign in. You are responsible for keeping your email inbox secure. We treat anyone with access to a valid magic link as authorised to act on the account.

You agree to provide accurate information when registering, and to keep it up to date. You may close your account at any time by emailing [email protected]. Account closure does not automatically delete your Listings, which we may continue to display in the directory unless you separately request removal.

Agency listings, claims, and edits

How listings appear

Many Agencies are listed in the directory based on publicly available information. A Listing's presence in the directory does not imply that the Agency has endorsed AgencyIndex, nor that AgencyIndex endorses the Agency.

Claiming an existing Listing

An authorised representative of an Agency can claim its Listing by completing the claim form and verifying ownership (typically via a matching email domain). Approved claims grant editorial access to the Listing in the account dashboard. We may refuse or revoke a claim where we reasonably believe the claimant is not authorised by the Agency, or where the claim is fraudulent or misleading.

Submitting a new Listing

You may submit a new Agency Listing for editorial review. Submission does not guarantee inclusion: we reserve absolute discretion to accept, reject, modify, or delay any submission. If we publish a submitted Listing, the submitter becomes its verified Agency Representative unless we determine otherwise.

Editing your Listing

Verified Agency Representatives can submit edits via the account dashboard. Edits are reviewed by our editorial team and applied at our discretion. Some fields (verification status, the manual sort order, the tier indicator) are administered by us and not editable by Representatives.

Editorial removal

We may remove or unpublish a Listing at any time without notice if we believe in good faith that it is fraudulent, defamatory, illegal, materially inaccurate, or in violation of these Terms. Where the removal is contested, we will work in good faith to resolve the disagreement.

Buyer enquiries

When a visitor submits an enquiry on an Agency's Listing, we route the enquiry by email to the verified Agency Representative for that Listing. We are a facilitator only: we do not introduce, mediate, or contract on behalf of either party. Any commercial relationship arising from an enquiry is between the visitor and the Agency directly.

We retain a copy of submitted enquiries for editorial and audit purposes (see our Privacy Policy for retention periods). We do not pass enquiries to any third party other than the Listed Agency.

Your content and our use of it

Content you submit through the Service (Listing data, edits, submissions, buyer enquiries, contact and advisory forms) is referred to as "Your Content". You retain all ownership rights in Your Content.

By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, distribute, adapt for format/format-conversion purposes, and otherwise use Your Content as necessary to operate the Service, including indexing it for search, embedding it in segment landings and cross-indexed pages, displaying it on the public directory, and including it in our editorial outputs (such as the Journal or the Dispatch newsletter, with attribution where appropriate).

You warrant that you have the right to submit Your Content and that it is accurate, not misleading, and does not infringe any third party's rights or applicable law. We may refuse to publish or may remove any of Your Content at our discretion.

Acceptable use

You must not use the Service to:

  • Submit content that is false, misleading, defamatory, infringing, or unlawful.
  • Impersonate another Agency, individual, or organisation, or misrepresent your authority to act on behalf of an Agency.
  • Submit listings or claims for Agencies you are not authorised to represent.
  • Use automated means to scrape, mirror, copy, or harvest the directory in bulk for any purpose, including building a competing directory. Limited machine reads for personal use, search-engine indexing, or accessibility tools are permitted.
  • Interfere with the operation of the Service, including by submitting malware, attempting to bypass authentication, or overloading the infrastructure.
  • Use the Service to send unsolicited marketing communications, run phishing operations, or carry out any other illegal or harmful activity.

We may suspend or terminate your access to the Service for any breach of these acceptable-use restrictions.

Intellectual property

All editorial content, design, software, and underlying compilations of the directory are owned by OmniFound Limited or licensed to us. Except as expressly permitted in these Terms, you may not copy, reproduce, distribute, scrape, modify, or create derivative works from the Service without our prior written consent.

Third-party logos and brand marks shown on Listings remain the property of their respective owners and are used either with consent or under the fair-use exception for editorial commentary in a directory.

AgencyIndex trademark

"AgencyIndex" is a registered trademark of OmniFound Limited in the United Kingdom. You must not use the AgencyIndex name, logo, or related branding in a way that suggests endorsement, partnership, or affiliation without our prior written permission, except for fair use in the ordinary course of referencing your AgencyIndex listing (e.g. "Listed on AgencyIndex" on your own website is fine).

Service availability and disclaimers

We work hard to keep the Service available and accurate but we do not guarantee uninterrupted access, error-free operation, or that the directory information is complete or current at any given moment.

To the maximum extent permitted by law, the Service is provided "as-is" and "as-available", without warranties of any kind, whether express or implied (including warranties of merchantability, fitness for a particular purpose, and non-infringement). We do not warrant that any Agency listed will meet your requirements, that any communication or contract you initiate via an enquiry will be satisfactory, or that the Service will be free from viruses or other harmful components.

Limitation of liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under English law.

Subject to the paragraph above, our total aggregate liability to you in respect of all claims arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is limited to:

  • for users on the free tier: £100;
  • for users with an active Featured subscription: the greater of £100 or the amount you have paid us in the 12 months preceding the event giving rise to the liability.

We are not liable for indirect, consequential, or special losses, including loss of business, loss of profits, loss of goodwill, loss of data, or loss of opportunity, even if we have been advised of the possibility of such losses.

We are not liable for any act or omission of any Agency listed on the Service, including failure to respond to enquiries, the quality of any services delivered by an Agency, or any dispute between you and an Agency.

Indemnity

You agree to indemnify us against any costs, losses, claims, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or any content you submit that infringes a third party's rights.

Termination

We may suspend or terminate your access to the Service (including any User Account or Featured subscription) at any time, with or without notice, for breach of these Terms or where we believe in good faith that your use of the Service exposes us or any third party to risk.

You may stop using the Service at any time. Termination does not refund fees already paid for the current billing period, except as required by law.

The provisions of these Terms that, by their nature, should survive termination (including limitation of liability, indemnity, intellectual property, governing law) survive termination.

Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page shows the effective date of the current version. For material changes affecting active subscribers, we will give at least 30 days' notice by email before the change takes effect. Continued use of the Service after a change indicates acceptance.

General

Governing law and jurisdiction

These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any such dispute, except that we may bring proceedings for breach of these Terms in any jurisdiction where you are located.

No assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer ours (for example, in the event of a sale or restructuring of OmniFound Limited); we will notify you if that affects your account.

Entire agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us in respect of the Service and supersede any prior agreements.

Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.

No waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or of any other.

Third-party rights

A person who is not a party to these Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
